Directors’ responsibilities are numerous. They manage a company, its business and affairs taking decisions as a board or acting by committees and other persons with delegated responsibility subject in each case to any requirement for shareholder or third party consent or approval and to applicable law.

These director duties and responsibilities have been revised and supplemented by the new Companies Act 2006 and subordinate legislation and so compliance is now even more onerous than ever.
